Set up a workspace for the new Minecraft version and copy over your code and assets to the appropriate directories. Then start fixing any errors that show up in your IDE.

Yeah, you do in fact have to rewrite some portion of the mod. Like Choonster says, your IDE should help you understand what needs to be changed. However, it isn't always obvious what to change to as some concepts like block states is a major change.
I've made a list of the stuff I had to do when converting my mod from 1.7.10 to 1.8. Some of that might be relevant to you (although you'll have other stuff from 1.6.4 to 1.7.10 I don't cover).
